Pension Plan for Salaried Employees of Thorn Lighting, Division of TEMI Canada Inc. - January 10, 2006

IN THE MATTER OF the Pension Benefits Act, R.S.O. 1990, c. P.8, as amended (the Act);

CONSENT

ON or about November 9, 2005, the Superintendent of Financial Services caused to be served on Thorn Lighting, Division of TEMI Canada Inc. a Notice of Proposal dated
November 9, 2005 to consent, pursuant to subsection 78(1) of the Act, to the payment out of the Pension Plan for Salaried Employees of Thorn Lighting, Division of TEMI Canada Inc., Registration Number 0591974 (the Plan), to Thorn Lighting, Division of TEMI Canada Inc. in the amount of $119,316 as at September 10, 1990 plus investment earnings thereon to date of payment less 58% of the expenses related to the wind up of the plan.

NO NOTICE requiring a hearing was delivered to the Financial Services Tribunal by the Applicant or any other party within the time prescribed by subsection 89(6) of the Act.

THE SUPERINTENDENT OF FINANCIAL SERVICES THEREFORE CONSENTS to the payment out of the Plan to Thorn Lighting Division of TEMI Canada Inc. in the amount of $119,316 as at September 10, 1990 plus investment earnings thereon to the date of payment less 58% of the expenses related to the wind up of the plan.

THIS CONSENT IS EFFECTIVE ONLY AFTER the Applicant satisfies me that the surplus entitlements of the members, former members and other persons entitled to benefits have been provided for.
